TERMS OF SERVICE

ReviewClock provides software that monitors your business's public Google reviews, drafts responses using artificial intelligence according to settings you configure, posts responses on your behalf where you have enabled posting, sends alerts you have enabled, and provides reporting. Features may be added, modified, or removed over time.

You represent that you are authorized to manage the business profile you connect and to authorize responses posted to it. You are responsible for maintaining the accuracy of your settings (tone, sign-off, posting rules, restricted phrases) and for activity under your account.

(a) Responses are generated by AI according to your configured policy. You choose, per review category, whether responses post automatically, are held for your approval, or are not drafted at all. (b) Responses posted automatically are posted under your authority, exactly as if you had posted them yourself. You are responsible for the settings you choose. We recommend the default setting of human approval for negative reviews. (c) Certain review categories (including apparent legal threats, safety allegations, or discrimination claims) are always held for your review and never posted automatically. This safeguard cannot be disabled. (d) AI-generated text may occasionally be imperfect. You may edit or delete any posted response at any time through your Google Business Profile, and may adjust your policy settings at any time.

ReviewClock is designed for lawful reputation management only. You agree not to use the service to: • Post false, deceptive, or misleading responses • Create, purchase, or incentivize fake reviews • Selectively solicit reviews in a manner prohibited by the FTC's rules on consumer reviews • Harass reviewers or disclose their personal information • Violate Google's terms or content policies We may suspend accounts engaged in these practices.

Subscriptions bill monthly or annually in advance via Stripe at the rates shown at signup. Prices may change with at least 30 days' notice; changes apply at your next renewal. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period. Refunds: your first month is covered by a 14-day money-back guarantee; otherwise fees are non-refundable except where required by law. Failed payments may result in suspension after retry attempts.

The service depends on third parties, including Google's Business Profile services and our infrastructure providers. We are not responsible for outages, changes, or restrictions imposed by third parties, though we will make reasonable efforts to adapt. If you disconnect your Google Business Profile, response posting will pause until reconnected.

Our collection and use of information is described in the Privacy Policy, which is incorporated into these terms. You retain ownership of your business's data; you grant us the license needed to operate the service (reading reviews, generating and posting responses, producing reports).

ReviewClock's software, scoring methodology, and branding are the property of ReviewClock and its owner. Responses posted to your profile are yours.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT WARRANT UNINTERRUPTED OPERATION, THAT REVIEWS WILL BE DETECTED WITHIN ANY SPECIFIC TIME, OR ANY PARTICULAR BUSINESS OUTCOME, INCLUDING CHANGES TO RATINGS, RANKINGS, OR SALES. REPUTATION SCORES ARE INFORMATIONAL ESTIMATES BASED ON PUBLIC DATA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS; AND (b) OUR TOTAL LIABILITY ARISING FROM THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

You will defend and hold us harmless from third-party claims arising from your breach of these terms, your settings and instructions, content you direct us to post, or your violation of law or third-party rights.

Either party may terminate at any time (you, by canceling; us, with notice, or immediately for breach). Upon termination we will stop posting on your behalf and, on request, delete your account data per the Privacy Policy.

These terms are governed by the laws of the State of Arkansas, with disputes resolved in the state or federal courts located in Arkansas. If any provision is unenforceable, the rest remain in effect. These terms plus the Privacy Policy are the entire agreement. We may update these terms with notice; continued use after the effective date is acceptance.
